Introduction

Welcome to Dala Studio (the "Platform"), operated under license in Ethiopia by Gebeya Developers as a Service PLC. These Terms and Conditions ("Terms"), govern your access to and use of the Platform, which enables you to generate working applications, comic books, agents, marketing campaign posts, and audio to text and text to audio transcriptions by using natural language prompts.

By signing up for the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

Definitions

Credits: The unit used to access AI-powered application generation features on the Platform.
Personally Identifiable Information (PII): Identifiable user information such as name, contact information, billing details, and demographic information.
Platform and AI Training Data: Anonymized technical data (usage patterns, model performance metrics) derived from the user's interaction, but not the user's specific prompts or generated outputs ("Platform Data").
User Content: Prompts, inputs, and files submitted by the user.
Generated Outputs: The applications, code, comic books, etc., generated by the AI for the user.
Platform: Dala (dala.gebeya.com, dalastudio.ai, comic.gebeya.com, campaign.gebeya.com), owned by Gebeya Inc and operated in Ethiopia by Gebeya Developers as a Service PLC.
AI Gateway: The external artificial intelligence model providers (e.g., OpenAI, Google, Anthropic) used by Gebeya Inc and its licensed operators to power the Platform.
GDPR: General Data Protection Regulation.

Parties

Gebeya Developers as a Service PLC, a private limited company registered in the Federal Democratic Republic of Ethiopia ("Gebeya," "we," "us," or "our") is the entity providing the Platform, under license, to users located in Ethiopia.

The Platform is owned by Gebeya Inc, a company incorporated under the laws of the State of Delaware, United States of America, and is made available in Ethiopia under a licensing arrangement.

Customer, the entity or individual registering for and using the Platform ("you" or "your").

Platform Ownership and Distribution: The Platform is developed and owned by Gebeya Inc. Gebeya Developers as a Service PLC is the exclusive distributor and licensed operator of the Platform in Ethiopia and is responsible for all local commercial activities, including sales, billing, and customer support within the Territory.

Gebeya Developers as a Service PLC does not own the Platform and provides access solely under license from Gebeya Inc.

Platform Overview

Dala (dala.gebeya.com, comic.gebeya.com, campaign.gebeya.com) is a Software-as-a-Service (SaaS) platform developed by Gebeya Inc that serves as a revolutionary AI-powered app builder designed specifically for the African context. The platform enables users, ranging from teenagers and students to entrepreneurs and non-coders, to create fully functional mobile and web applications, web based games, comic books, and AI-agents simply by describing their ideas in natural language, using voice or text prompts.

Dala lowers the barrier to software creation by removing the need for traditional coding skills or access to expensive development tools. By leveraging AI and a natural-language interface, it democratizes digital product building across Africa.

The Core Platform Features Include

Multilingual Natural Language Interface: Supports a wide range of African languages (e.g., Amharic, Swahili, Hausa, Zulu) in addition to English and French.
Mobile-First Design: The full creation process is optimized to be completed directly on a smartphone.
Context-Aware AI Generation: Understands local needs and generates full-stack code and tailored digital tools.
Democratization of Tech Creation: Makes technology creation accessible to non-technical audiences.
Rapid Prototyping & Deployment: Allows instant generation, preview, and deployment of apps and games.

License and Subscription

Gebeya grants you a non-exclusive, non-transferable license to use the Platform within Ethiopia. This license is granted by Gebeya Developers as a Service PLC under rights obtained from Gebeya Inc, the owner of the Platform.

The term of this license is for the duration of your active account with a positive Credit balance.

Credit-Based Access & Purchase

All purchases of Credits are made from Gebeya Developers as a Service PLC.
Payments shall be made in Ethiopian Birr (ETB) unless otherwise specified and are subject to applicable Ethiopian taxes and regulations.
The Platform operates on a demand-based, pre-paid credit model. There are no recurring monthly or annual subscription fees.
You must purchase Credits to use the Platform. Credits are non-refundable. All purchases are final.
All applicable taxes are governed by the laws of the Federal Democratic Republic of Ethiopia and administered by Gebeya Developers as a Service PLC.
Content and code generation service access is immediately suspended when your Credit balance reaches zero (0) until new Credits are purchased.
Purchased Credits are non-refundable. Unused Credits have no cash value.

General Credit Conditions

Credits cannot be sold, traded, transferred, or redeemed for cash.
Gebeya may adjust credit limits, refill rates, expiration policies, or usage rules to ensure stability or fairness.
It is the user's responsibility to track credit usage and expiration dates in the dashboard.

Credit Expiration

Purchased Credits: Generally do not expire while your account remains active and in good standing. If terminated for material breach, or inactive for more than six (6) months, remaining credits may be forfeited after 30 days notification.
Free/Promotional Credits: Expire at the end of the day or period specified, do not roll over, have no cash value, and can be modified or discontinued by Gebeya at any time.

Obligations

Gebeya's Obligations

Provide responsive customer support and a clear channel for bug reporting.
Perform necessary maintenance, updates, and system enhancements to keep the Platform secure and functional.
Deliver the Platform in a professional, reliable, and timely manner.
Implement reasonable administrative, technical, and physical safeguards to protect user data.
Assure availability with minimal downtime, except during scheduled maintenance or unforeseen circumstances.
Notify users in advance about planned maintenance, updates, new features, or impactful changes.
Continuously improve the platform, including AI models and tools.
Ensure AI models adhere to responsible AI principles, including fairness and transparency.
Implement data backup and recovery procedures.
Comply with relevant data protection, privacy, and digital services regulations.
Provide equal access and ensure users are not unfairly restricted or treated differently.

Your Obligations

Account Management: Provide truthful, complete, and updated information and safeguard your credentials.
Lawful Use: Use the Platform only for lawful purposes and in compliance with all applicable laws of the Federal Democratic Republic of Ethiopia ("Ethiopia"), regulations, and Gebeya's policies.
Acceptable Conduct: Follow usage instructions and limitations, including usage caps.
Prohibited Actions: Do not attempt to hack, reverse-engineer, overload, disrupt, or bypass security controls.
Prohibited Content: Do not submit material that infringes IP rights or contains malicious code.
Responsible AI Use: Do not use services for scams, misinformation, harassment, or harmful activities; do not present AI content as human-created where misleading; do not rely on AI outputs in sensitive areas without review.
Support Cooperation: Report issues promptly and provide information needed for diagnosis.
Data Backup: Maintain your own backups unless Gebeya explicitly provides backup guarantees.

Intellectual Property (IP)

Platform IP: All IP rights in Dala Studio, including AI models, algorithms, software, and architecture remain with Gebeya Inc.
Ownership of User Inputs: You retain ownership of prompts, descriptions, ideas, and data you provide.
License to Gebeya: You grant a limited, non-exclusive license to process inputs for output generation, service quality, and security.
Ownership of AI-Generated Outputs: You own generated outputs except for elements derived from Gebeya proprietary components.
Platform Training and Improvement: Gebeya may use anonymized or aggregated interaction data to improve models and platform features.
Third-Party IP: Third-party marks, libraries, and integrations remain the property of their respective owners.
IP Violations: Gebeya may suspend or terminate access for infringement of Gebeya or third-party rights.

Data Protection and Privacy

Gebeya processes personal data in accordance with applicable data protection laws, including Ethiopia's Personal Data Protection laws and GDPR where relevant.

Compliance: Both parties agree to comply with all applicable privacy and data protection laws.
Governing Policy: Processing of personal data is governed by Dala Studio's Privacy Policy.
PII Processing: Processed solely for service provision, account management, and legal obligations.
Platform Data: Technical data may be used to improve generative AI models and core features.
Communications Consent: You consent to email, text, call, and in-app communication related to the Platform.
Retention and Deletion: You may request deletion; Gebeya will delete or anonymize PII in a reasonable timeframe.
Infrastructure Providers: Data may be processed by third-party providers solely for service delivery.

Artificial Intelligence and Generated Outputs

The Platform uses artificial intelligence technologies to process your text and voice prompts and generate application features, designs, and code.

By Using the Platform, You Consent To

Processing of prompts, app data, schemas, design selections, and generated code for feature delivery and accuracy improvement.
Analysis of generation patterns to improve quality, efficiency, security, and output variety.
Automated context-aware suggestions for features, layouts, code improvements, and architecture.
Internal model training on anonymized or aggregated interaction data.
Analysis of user behavior patterns to improve platform performance and recommendations.

AI Use Disclaimer and Customer Responsibility

The Platform is a content generation tool and not a substitute for professional advice.
You are solely responsible for legal compliance of generated content and deployed applications.
AI outputs must be reviewed, validated, and tested before use, deployment, publication, or distribution.
AI outputs should not be relied on in high-risk contexts without professional review.
Gebeya does not guarantee accuracy, reliability, legality, or fitness of AI outputs.

Subdomain Usage and Management

Ownership: All generated subdomains are and remain the exclusive property of Gebeya.
Gebeya's Rights: Gebeya may manage, modify, redirect, suspend, or revoke any subdomain at any time.
You may not claim ownership or imply endorsement or partnership by Gebeya.
Subdomains are provided "as-is"; Gebeya is not responsible for related downtime or losses.
Where allowed, you may connect your custom domain, but original subdomains remain governed by these Terms.

Suspension and Removal

Gebeya may suspend/remove subdomains for breach, legal violations, inactivity, security risk, free quota limits, or violation of applicable laws of Ethiopia.
Subdomains may be reclaimed and reassigned after termination or deletion.
Gebeya has no obligation to reserve subdomains after access ends.

Service Dependencies and Availability

The Platform relies on third-party providers including cloud infrastructure, AI model providers, authentication, hosting, and database services (including Supabase) to deliver core functions.

Gebeya does not have full control over third-party uptime, availability, security, or continuity.
Service interruptions may occur due to outages, failures, maintenance, API changes, policy updates, or rate limits.
Gebeya is not liable for downtime, delays, data loss, or degraded functionality caused by third-party providers.
Features may be changed or discontinued if third-party terms, pricing, or access conditions change.

Term and Termination

Term: Effective upon acceptance and continues while account remains active with positive Credits unless terminated.
Termination by You: You may request account termination at any time.
Termination by Gebeya: 30 days written notice for convenience, or immediate termination for material breach.
Material Breach Includes: Failure to pay fees, unlawful or harmful use, unauthorized copying, hacking, or misuse.
Effect of Termination: Access ends immediately; data retention for 30 days is export-only; payment obligations remain due.

Indemnity and Limitation of Liability

Indemnity

You agree to indemnify, defend, and hold harmless Gebeya and its affiliates, officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising out of your use of the Platform, your inputs, your applications, or your violation of these Terms or applicable laws.

Limitation of Liability

Services are provided "as is" and "as available."
Gebeya is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Gebeya's total liability will not exceed amounts paid for the Services in the prior 12 months.
For free or trial credits, Gebeya's total liability is limited to USD $0.
Gebeya Developers as a Service PLC is a licensed distributor and is not liable for underlying technology beyond licensing scope.

Default

Failure to pay fees when due.
Generation of fraudulent, harmful, or illegal applications.
Attempting to hack, reverse-engineer, overload, or misuse systems.
Repeated violations of acceptable use or responsible AI guidelines.
Insolvency or bankruptcy of either party.

Governing Law, Dispute Resolution, and Publicity

Governing Law and Dispute Resolution

These Terms are governed by and interpreted under the laws of the Federal Democratic Republic of Ethiopia.
Any difference or dispute between the Parties shall first be settled amicably through good-faith negotiation and discussions.
If unresolved within fifteen (15) Working Days from written invitation to negotiate, either Party may refer the dispute to arbitration.
Arbitration shall be conducted by the Addis Ababa Chamber of Commerce and Sectoral Association Arbitration Institute under its procedural rules and applicable law.
The number of arbitrators shall be three, unless the Parties agree to a single arbitrator.
The place of arbitration shall be Addis Ababa.
The language of arbitration shall be English unless the Parties agree to Amharic.
Any arbitral decision shall be final and binding, and no Party may file appeal or review before a court or cassation division of the Supreme Court of Ethiopia.

Publicity Rights

Unless you opt out in writing, Gebeya may mention your company name, logo, or project as a customer reference.
Gebeya may refer to Dala Studio-created apps in case studies or marketing materials.

Severability, Modifications, and Assignment

Severability: If any part of these Terms is invalid or unenforceable, remaining provisions remain in full effect.
Modifications: Gebeya may modify the Site, Content, and services at any time without notice and may update these Terms periodically.
Acceptance of Updates: Continued use after updates become effective constitutes acceptance.
Assignment: You may not assign rights or obligations without prior written consent. Gebeya may assign these Terms in whole or in part in connection with corporate transactions or by operation of law.

Beta or Experimental Features

Gebeya or Gebeya Inc may provide "Beta," "Experimental," "Early Access," or "Preview" features at any time.
Beta Features are offered "as-is" and without warranties, commitments, or service-level obligations.
Use is for internal testing and feedback unless explicitly authorized for production use.
Gebeya may use feedback without restriction and without obligation.
You agree not to publicly disclose Beta Feature details unless permitted in writing.
Gebeya is not liable for damages, downtime, or losses arising from Beta Feature use.

Miscellaneous, Force Majeure, and Repeat Infringer Policy

These Terms constitute the entire agreement and supersede prior agreements.
No amendment is valid unless in writing and signed by both parties.
If any provision is invalid, remaining provisions remain in full force and effect.
Force Majeure: Neither party is liable for failure to perform due to events beyond reasonable control.
Repeat Infringer Policy: Gebeya Developers as a Service PLC in coordination with Gebeya Inc respects intellectual property rights and may suspend or terminate accounts for repeated copyright, trademark, or other IP violations.

Warranties and Confidentiality

Warranties

Each party has authority to enter into and perform these Terms.
Each party is not in breach of any other agreement or law by entering into these Terms.
All information provided is true, complete, and accurate.

Confidentiality

Both parties agree to keep confidential information obtained from the other party and not disclose it to third parties, except as required by law or with prior written consent.

Acceptance of Terms
